By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our services.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

2. Eligibility and Account Registration

2.1 Eligibility

3.1 Number Availability

All toll-free vanity numbers displayed on our website are subject to availability. We make reasonable efforts to ensure accuracy, but availability may change without notice. Number availability is confirmed only upon successful completion of your order.

3.2 Lease Terms

When you lease a vanity number:

• You receive exclusive rights to use the number for the lease period
• Lease terms are monthly, quarterly, or annually as specified
• Automatic renewal applies unless you cancel before the renewal date
• Lease fees are non-refundable except as required by law
• You must maintain active service with a telecommunications carrier
• We reserve the right to reclaim numbers for non-payment or Terms violations

3.3 Purchase Terms

When you purchase a vanity number:

• You acquire ownership rights to the number subject to regulatory compliance
• Purchase is final and non-refundable except as required by law
• You are responsible for all regulatory fees and compliance requirements
• Transfer of ownership requires written consent and may incur fees
• Numbers must be used in compliance with FCC regulations and carrier requirements

3.4 Number Portability

You may port your vanity number to any compatible telecommunications carrier. We will cooperate with legitimate porting requests and provide necessary documentation. Porting fees may apply.

4. Pricing and Payment

4.1 Pricing

All prices are displayed in U.S. Dollars and are subject to change without notice. We reserve the right to modify pricing at any time, but changes will not affect existing contracts or orders already placed.

4.2 Payment Terms

• Payment is due immediately upon order placement unless otherwise agreed
• We accept major credit cards, debit cards, and other payment methods as displayed
• You authorize us to charge your payment method for all fees incurred
• For recurring payments, you authorize automatic charges on renewal dates
• Failed payments may result in service suspension or termination

4.3 Taxes and Fees

You are responsible for all applicable taxes, regulatory fees, and surcharges. These may include but are not limited to sales tax, use tax, FCC fees, and state regulatory fees.

4.4 Refund Policy

All sales and lease payments are final and non-refundable except as required by law or as explicitly stated in writing. If you believe you are entitled to a refund, contact us within 7 days of purchase with supporting documentation.

5. Acceptable Use Policy

You agree not to use our services to:

• Violate any local, state, national, or international law or regulation
• Engage in fraudulent, deceptive, or misleading practices
• Harass, abuse, threaten, or intimidate any person

• Use numbers for illegal activities including but not limited to scams, fraud, or illegal telemarketing
• Violate Telephone Consumer Protection Act (TCPA) or Do Not Call regulations

6. Intellectual Property Rights

All content on our website, including but not limited to text, graphics, logos, images, software, and design, is the property of MoreRing or its licensors and is protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our services for your business purposes. This license does not include the right to:

• Reproduce, distribute, or publicly display our content without permission
• Modify, reverse engineer, or create derivative works
• Use our trademarks or branding without written consent
• Frame or mirror our website on any other server

"MoreRing" and associated logos are trademarks of MoreRing. All other trademarks, service marks, and trade names are the property of their respective owners.

7. Service Availability and Modifications

8. Termination

You may terminate your account at any time by contacting us. Termination does not relieve you of obligations to pay outstanding fees or charges incurred before termination.

We do not warrant that vanity numbers will increase your business revenue or call volume. Results may vary based on numerous factors beyond our control.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MORERING AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Unauthorized access to or alteration of your transmissions or data
• Third-party conduct or content on our services

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $500, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless MoreRing and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of our services
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations
• Any content you submit or transmit through our services

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to contact us at info@morering.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.

12.2 Binding Arbitration

If informal resolution fails, any dispute arising from or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall take place in New York, NY.

12.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12.4 Exceptions

Either party may seek injunctive or equitable relief in court to protect intellectual property rights or confidential information.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in New York, NY, and you consent to the jurisdiction of such courts.

You acknowledge and agree to comply with all applicable telecommunications regulations, including but not limited to:

• Federal Communications Commission (FCC) regulations
• Telephone Consumer Protection Act (TCPA)
• Telemarketing Sales Rule (TSR)
• Do Not Call Registry requirements
• State and local telecommunications laws

You are solely responsible for ensuring your use of vanity numbers complies with all applicable laws and regulations.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MoreRing regarding our services and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
